These Terms of Service ("Terms") are an agreement between you and NoteLink ("NoteLink", "we", "us") governing your use of the NoteLink applications and website at notelink.us (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.
1. The Service
NoteLink is a cloud-based notes application with wiki-links, backlinks, full-text search, and an optional AI assistant ("Ask NoteLink") that operates on your notes using an AI provider API key that you supply. The Service is under active development; features may change, be added, or be removed. We may modify or discontinue the Service (in whole or in part) with reasonable notice where practicable.
2. Your account
You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service. You agree to provide accurate account information, keep your password secure, and accept responsibility for all activity under your account. Notify us promptly at support@notelink.us if you suspect unauthorized use.
3. Your content
You own your notes. You retain all rights to the notes, files, and other content you create or upload ("Your Content"). You grant us a limited, non-exclusive license to host, store, process, transmit, and display Your Content solely as needed to operate and provide the Service to you — including sending relevant content to the AI provider you configured when you use AI features. This license ends when Your Content is deleted from the Service.
We never train AI models on Your Content and never permit third parties to do so.
You are responsible for Your Content and must have the necessary rights to store and process it through the Service. You are also responsible for maintaining your own copies of anything important to you; see Section 7.
4. AI features and bring-your-own-key (BYOK)
Ask NoteLink requires an API key from a supported provider (currently Anthropic or OpenAI) that you supply.
- Your key, your costs. All usage under your key is billed to you directly by the provider at their rates. We are not responsible for charges incurred under your key.
- Provider terms apply. Your use of AI features must comply with the applicable provider's terms and usage policies.
- AI output may be wrong. AI-generated answers, summaries, and edits can be inaccurate, incomplete, or misleading. Do not rely on them without verification, and do not use them as a substitute for professional advice.
- The assistant can modify your notes. At your direction, Ask NoteLink can create, edit, and organize notes (for example, auto-filing pasted content). The Service currently has no version history, so changes made by you or by the assistant may not be reversible. Review changes the assistant makes. To the maximum extent permitted by law, we are not liable for content changes performed by AI features you invoke.
5. Acceptable use
You agree not to: (a) use the Service for unlawful purposes or to store or distribute unlawful, infringing, or malicious content; (b) probe, breach, or circumvent security or rate limits; (c) access the Service by automated means other than documented interfaces; (d) interfere with the Service or other users; (e) reverse engineer the Service except where permitted by law; or (f) resell or provide the Service to third parties as a service. We may throttle, suspend, or terminate accounts that violate these Terms or place unreasonable load on the Service.
6. Fees
The Service is currently free of charge (AI usage under your own key is billed by your provider, not by us). We may introduce optional paid features or plans in the future; if we do, we will announce them in advance, and no existing free feature will begin charging you without your explicit opt-in.
7. Backups and data loss
We take reasonable measures to safeguard data, but the Service is provided without any guarantee against data loss, and there is currently no version history or built-in export. You are responsible for keeping independent copies of content you cannot afford to lose.
8. Third-party services
The Service interoperates with third-party services you choose to connect, such as Anthropic, OpenAI, and Notion (for import). Those services are governed by their own terms, and we are not responsible for them.
9. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access for material violation of these Terms, with notice where practicable. Upon termination, your license from us ends and we will delete Your Content as described in the Privacy Policy. Sections 3 (license termination aside), 4, 7, 10, 11, and 12 survive termination.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED AVAILABILITY. THE SERVICE IS EARLY-STAGE SOFTWARE AND MAY CONTAIN ERRORS.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) US $50. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
12. Indemnification
You will indemnify and hold us harmless from claims arising out of Your Content, your use of the Service in violation of these Terms, or your violation of law or third-party rights.
13. Changes to these Terms
We may update these Terms from time to time. For material changes we will provide notice (by email or in-app) before they take effect. Continued use of the Service after the effective date constitutes acceptance.
14. Governing law
These Terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-laws rules, and disputes will be resolved in the courts located there, except where applicable law gives you the right to proceed in your local courts.
15. Contact
If localized translations of these Terms are published, the English version governs in case of conflict.
